2. Purpose

These conditions regulate the contracting of automation, web development, chatbots, and artificial intelligence services that NeoWeb agencIA provides to companies, freelancers, and individuals. Requesting a quote and its acceptance implies the acceptance of these conditions.

3. Services and Prices

The current services and prices are those published on the website (implementation plans and monthly maintenance plan). Unless otherwise indicated:

  • The prices shown on the website include VAT (21%): the amount you see is the final price. The invoice will detail the taxable base and 21% VAT.
  • The final price of each project is specified in a custom quote after the free initial audit, based on the actual scope.
  • For invoices to companies and professionals, the applicable IRPF withholding in force.

4. Contracting Process

  1. Free initial audit (15 min) and quote submission.
  2. Client's acceptance of the quote (in writing, email, or by signing the receipt/agreement).
  3. Payment of the first installment, which initiates the project.
  4. Execution, agreed revisions, and asset delivery.
  5. Payment of the final installment and, upon request, delivery of the source code.

When contracting and payment are made directly through the website (payment gateway), the client will receive email confirmation, and these conditions will also apply.

5. Payment Method

  • Projects: Essential and Professional plans: 50% upfront (deposit) and 50% upon delivery. Custom projects (Enterprise plan, starting from approximately 4,000 €): 40% upfront, 30% at an intermediate milestone, and 30% upon delivery.
  • Installment payment: upon request, the amount can be divided into up to 3 installments at no additional cost.
  • Maintenance: optional, monthly and in advance, with no commitment. The project is delivered to the client's own account; there is no mandatory fee.
  • Accepted payment methods: card (Stripe), bank transfer, or Bizum.
  • The first installment is considered a non-refundable deposit and reserves availability to execute the project.

6. Execution Timelines

Timelines are estimated and are specified in the quote. As a guideline: automations 1–2 weeks; web/landing 2–4 weeks; complex projects 4–8 weeks. Delays caused by lack of materials, access, or client responses do not count towards the timeline.

7. Warranty

All projects include a 30-day warranty from delivery for the free correction of errors or failures (bugs) based on what was agreed. The warranty does not cover new functionalities or scope changes, which are quoted separately. For consumers, this warranty is additional and does not limit the legal conformity warranty provided in consumer regulations.

8. Maintenance

Monthly maintenance is optional, with no commitment, and is contracted separately. When a project operates on free third-party plans (e.g., Make, Firebase) with usage limits, the change to a paid plan, if volume requires it, will be borne by the client.

9. Right of Withdrawal (consumers)

If the client is a consumer (not acting as a business or professional), you have 14 calendar days to withdraw from the contract without justification, by writing to 1913torres@gmail.com.

Exception (Art. 103 TRLGDCU): if the client expressly requests that the service begins before that period ends, they acknowledge that they will lose the right of withdrawal once the service has been fully executed. For services already started, the client will pay the proportional part of the work performed.

The right of withdrawal does not apply to businesses or professionals.

10. Client Obligations

The client agrees to provide the necessary content, access, and materials on time, and to designate a contact person for revisions. The ownership of the domain and third-party accounts (Stripe, Firebase, Make, etc.) belongs to the client.

11. Intellectual Property

The developed code and design become the property of the client once the full payment has been made. NeoWeb agencIA may mention the project in its portfolio, unless a confidentiality agreement states otherwise.

12. Data Protection and Liability

The processing of personal data is governed by the Privacy Policy. Regarding the data collected by the client's website or store, the client is the data controller.

NeoWeb agencIA is not responsible for outages or changes in third-party services (Stripe, Make, Firebase, domain, etc.) nor for indirect damages or loss of profit.

13. apoyArte Program

NeoWeb agencIA offers, with a limited quota, special conditions for artisans and micro-entrepreneurs within the program apoyArte, which may include accessible prices or payment in installments. The specific conditions are detailed in the quote/agreement for each apoyArte project.

14. Cancellation

In case of cancellation by the client, the first installment (deposit) is non-refundable. If work has progressed beyond the deposit, the proportional part executed will be invoiced.

15. Applicable Law and Dispute Resolution

These conditions are governed by Spanish law. For the resolution of disputes, the parties submit to the courts and tribunals of the provider's domicile, unless the law imposes another jurisdiction (for example, that of the consumer's domicile). Consumers may also resort to the Sistema Arbitral de Consumo through the corresponding Junta Arbitral de Consumo.

16. Modifications

NeoWeb agencIA may update these conditions. The version applicable to each contract is the one in force at the time of its acceptance.
